1. Definitions
- "Agreement" means these Terms and Conditions as updated from time to time.
- "Cogniva" / "We" / "Us" / "Our" means the educational organisation operating from 6 Jalan Telawi, 59100 Bangsar, Kuala Lumpur, Malaysia.
- "Programme" means any of the structured learning programmes offered by Cogniva, including the Maths Refresher, Model Building Studio, and Portfolio and Practice Programme.
- "User" / "You" means any person who accesses this website or enrols in a Programme.
- "Content" means all materials provided through Programmes, including recordings, notebooks, problem sets, reference documents and written feedback.
- "Cohort" means the group of learners enrolled in the same Programme intake.
2. Acceptance of Terms
By accessing this website or enrolling in a Programme, you agree to be bound by this Agreement. If you do not agree, do not use the website or enrol.
You must be at least 18 years old to enrol in a Programme. By enrolling, you confirm that you meet this requirement and have the legal capacity to enter into this Agreement.
3. Programme Description and Availability
Cogniva offers structured learning programmes in AI development, delivered primarily online with scheduled live sessions. Programme content, duration and deliverables are described on the Solutions page of this website.
Programmes are open to residents of Malaysia and other countries, subject to time zone and scheduling practicalities. We reserve the right to limit intake by geography where logistical constraints apply.
Cogniva reserves the right to modify programme content, session scheduling, or facilitators between cohorts. Enrolled learners will be notified of material changes that affect their current cohort.
4. Enrolment and Accounts
A cohort place is confirmed when payment has been received and we have sent written confirmation. You are responsible for providing accurate contact and personal information at enrolment.
Access credentials to programme materials and channels are personal and must not be shared. You are responsible for maintaining the confidentiality of your access details.
We may terminate access if we have reasonable grounds to believe account credentials are being shared or misused.
5. User Responsibilities
You agree to:
- Engage with programme materials and sessions in good faith
- Treat facilitators, mentors and other learners with respect during sessions and in shared communication channels
- Not record, redistribute or republish session recordings or programme materials without written permission from Cogniva
- Not submit work that is not your own in contexts where individual work is expected
- Not use programme resources (including cloud credits) for purposes outside the assigned programme work
Cogniva reserves the right to remove a learner from a cohort for conduct that materially disrupts the programme for others.
6. Intellectual Property
All programme materials — including session recordings, notebooks, problem sets, reference documents and written feedback — are the intellectual property of Cogniva or its content contributors.
You are granted a limited, non-exclusive, non-transferable licence to use programme materials for your personal learning during and after the programme. You may not reproduce, distribute, or sell materials to third parties.
Work you produce as part of a programme (models, projects, documentation) remains your own. By sharing work in critique sessions, you grant Cogniva a limited licence to reference or use it as a teaching example within the programme, with reasonable notice.
7. Payment Terms
Programme fees are published on this website and quoted in Malaysian Ringgit (RM). Fees must be paid before a cohort place is confirmed.
We accept payment via bank transfer and online payment methods as listed at the point of enrolment.
Refund Policy: Requests for refunds submitted more than 14 days before a cohort starts will be considered and processed minus a 10% administrative fee. Requests submitted within 14 days of cohort start are not eligible for a refund, but we may offer a transfer to a future cohort at our discretion. Once a cohort has started, fees are non-refundable.
Payment plan arrangements, where agreed prior to enrolment, are documented separately and those terms apply alongside this Agreement.
8. Programme-Specific Terms
Completion Records: Completion records and written references are issued to learners who complete the relevant programme milestones. The criteria for completion are communicated at programme start.
Cloud Credits: GPU and cloud credits provided as part of the Studio and Portfolio programmes are allocated per enrolled learner. Credits are for programme-related use only and are not transferable or redeemable for cash.
Mentor Pairing: Mentor relationships in the Studio and Portfolio programmes operate on a structured schedule. Cogniva will make reasonable efforts to maintain pairings throughout the programme but reserves the right to reassign mentors if circumstances require.
Session Recordings: Recordings are made available to enrolled learners and remain accessible for the duration of their programme enrolment. We do not commit to indefinite post-programme access.
9. Disclaimers
Programmes are provided for educational purposes. We describe outcomes in terms of skills practised and artefacts produced. We make no representations about employment outcomes, income levels or career progression that may follow from participation.
Programmes are provided on an "as is" basis. While we work to maintain quality and continuity, we do not warrant that programmes will be uninterrupted or error-free.
10. Limitation of Liability
To the extent permitted by Malaysian law, Cogniva's total liability to you in connection with any Programme or this website shall not exceed the fee paid for the relevant Programme.
We are not liable for indirect, consequential, or incidental losses, including loss of income, data, or opportunity, arising from your participation in a Programme or use of this website.
These limitations do not apply to liability arising from fraud or gross negligence.
11. Indemnification
You agree to indemnify and hold harmless Cogniva, its team members and facilitators from any claims, losses or expenses arising from your breach of this Agreement or your conduct during a Programme.
12. Termination
You may withdraw from a Programme at any time by notifying us in writing. Refund eligibility is governed by Section 7.
Cogniva may terminate your access to a Programme if you breach this Agreement, with written notice where practicable. In cases of serious misconduct affecting other learners, access may be suspended immediately.
Sections 6, 9, 10, 11 and 13 of this Agreement survive termination.
13. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Malaysia. Disputes will be resolved under the jurisdiction of the courts of Kuala Lumpur, Malaysia.
Before commencing formal proceedings, both parties agree to attempt to resolve disputes informally by written notice. If a dispute is not resolved within 30 days of such notice, either party may pursue formal resolution.
The Consumer Protection Act 1999 of Malaysia and applicable consumer protection provisions apply where you are a consumer.
14. General Provisions
- Entire Agreement: This Agreement constitutes the entire agreement between you and Cogniva regarding your use of this website and participation in Programmes, except where a separate written enrolment agreement exists.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under this Agreement. Cogniva may assign its rights in connection with a business transfer.
- Notices: Legal notices should be sent to [email protected].
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to enrolled learners by email at least 14 days before they take effect. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after changes take effect constitutes acceptance.
